1. Introduction

Welcome to Rewards.

These Terms of Service ("Terms") govern your access to and use of the Rewards platform, website, APIs, MCP access, dashboards, leaderboards, integrations, and related services (collectively, the "Services").

Rewards is operated by Médhy Chabour EI, located at 200 Rue de la Croix Nivert, 75015 Paris, France ("Rewards", "we", "our", or "us").

By accessing or using Rewards, you agree to be bound by these Terms.

If you do not agree with these Terms, you may not access or use the Services.

2. Eligibility

You may use the Services only if:

  • You are legally able to enter into a binding agreement.
  • Your use of the Services complies with applicable laws and regulations.
  • You are not prohibited from using the Services under applicable sanctions or export control laws.

You are responsible for ensuring that your use of Rewards complies with the laws applicable in your jurisdiction.

3. Description of the Services

Rewards provides infrastructure and tools that allow users and organizations to:

  • Create and manage loyalty programs
  • Create points systems and engagement mechanics
  • Manage community leaderboards
  • Distribute rewards including tokens, NFTs, raffle entries, and offchain rewards
  • Access APIs and MCP integrations
  • Collaborate with team members
  • Track engagement and analytics

Rewards does not custody user funds, private keys, or digital assets.

4. Accounts

To access certain features, you may need to create an account.

Authentication may be provided through:

  • Email authentication
  • Google authentication
  • GitHub authentication

You are responsible for:

  • Maintaining the security of your account
  • Restricting unauthorized access
  • All activity occurring under your account

You agree to provide accurate and up-to-date information.

We reserve the right to suspend or terminate accounts that violate these Terms or create risks for the platform or other users.

5. Wallets and Blockchain Interactions

Rewards may allow users to interact with blockchain-based systems and public wallet addresses.

By using blockchain-related features, you acknowledge and agree that:

  • Blockchain transactions may be irreversible
  • Public wallet addresses are publicly visible by nature
  • Blockchain networks are decentralized and outside of Rewards' control
  • Rewards cannot reverse blockchain transactions
  • Rewards cannot recover lost assets, wallets, or credentials
  • You are solely responsible for verifying addresses and transactions before submitting them

You understand that digital assets, tokens, NFTs, and blockchain systems may involve significant risks, including:

  • Volatility
  • Smart contract vulnerabilities
  • Protocol failures
  • Third-party exploits
  • Regulatory uncertainty
  • Permanent loss of assets

Rewards is not responsible for losses resulting from blockchain interactions or third-party protocols.

6. User Responsibilities

You agree not to:

  • Use the Services for illegal purposes
  • Abuse, disrupt, or interfere with the platform
  • Attempt unauthorized access to systems or accounts
  • Use the platform to distribute malware or malicious content
  • Infringe intellectual property rights
  • Use Rewards for fraudulent, deceptive, or abusive activity
  • Circumvent rate limits, security systems, or access restrictions

You are solely responsible for:

  • The content you upload or distribute
  • The rewards you distribute
  • Compliance with laws applicable to your activities
  • Any tax obligations related to tokens, rewards, or digital assets

7. APIs and MCP Access

Rewards may provide API keys, MCP access, and developer tools.

You are responsible for maintaining the confidentiality and security of your API credentials.

You may not:

  • Share API access in unauthorized ways
  • Abuse or overload the infrastructure
  • Reverse engineer restricted systems
  • Use automated systems in ways that negatively impact the Services

We reserve the right to suspend or revoke API access at any time.

8. Intellectual Property

All rights, title, and interest in the Services, including software, branding, visual assets, interfaces, and content provided by Rewards, remain the exclusive property of Rewards and its licensors.

You may not:

  • Copy or reproduce the Services
  • Modify or create derivative works
  • Resell or sublicense the platform
  • Use Rewards branding without permission

You retain ownership of the content and data you upload to the Services.

9. Beta Services

Rewards may currently operate in beta.

Beta features may:

  • Change without notice
  • Contain bugs or errors
  • Be modified, suspended, or removed at any time

The Services are currently provided free of charge during beta unless otherwise stated.

We make no guarantees regarding uptime, availability, or uninterrupted access during the beta period.

10. Third-Party Services

Rewards relies on third-party providers and integrations, including infrastructure and analytics providers.

These may include:

  • Supabase
  • Vercel
  • PostHog
  • Authentication providers
  • Blockchain networks

We are not responsible for outages, failures, security incidents, or data practices of third-party services.

Your use of third-party services may also be subject to their own terms and privacy policies.

11. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, Rewards disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability
  • Reliability
  • Accuracy

We do not guarantee that the Services will be secure, uninterrupted, or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, Rewards and Médhy Chabour EI shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or revenue
  • Loss of data
  • Loss of digital assets
  • Security breaches outside our reasonable control
  • Blockchain-related losses
  • Third-party service failures

In no event shall our total liability exceed the amount paid by you to Rewards during the twelve months preceding the claim, or €100 if no payment was made.

13. Indemnification

You agree to indemnify and hold harmless Rewards, Médhy Chabour EI, affiliates, contractors, and partners from any claims, liabilities, damages, losses, or expenses resulting from your use of the Services, your violation of these Terms, your violation of applicable laws, or your rewards, campaigns, or blockchain activities.

14. Termination

We reserve the right to suspend or terminate access to the Services at any time, with or without notice, including if:

  • You violate these Terms
  • Your activity creates legal or security risks
  • We discontinue part of the Services

You may stop using the Services at any time.

15. Governing Law

These Terms are governed by the laws of France.

Any disputes relating to these Terms or the Services shall fall under the exclusive jurisdiction of the competent courts of Paris, France.

16. Changes to the Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the website or Services.

Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
